CONSIGNMENT TERMS & CONDITIONS

Effective Date: 13/02/2026

These Consignment Terms & Conditions (“Agreement”) apply to all garments accepted for rental by Dress Rental NZ (“Company”, “we”, “us”).

By consigning a garment, the Consignor (“you”) agree to the following:


1. Ownership & Authority

You warrant and represent that:

• You are the lawful and beneficial owner of the garment
• The garment is authentic and not counterfeit
• The garment is free of any finance, lien, charge, or security interest
• You have full legal authority to consign the garment

Ownership remains with you at all times unless otherwise agreed in writing.

You indemnify Dress Rental NZ against any claim arising from breach of this clause.


2. Acceptance & Discretion

Garments are accepted at the sole and absolute discretion of Dress Rental NZ.

Acceptance does not guarantee rental frequency, income, or continued listing.

We may remove or decline a garment at any time without liability.


3. Exclusivity

During the consignment term:

• The garment must not be listed, hired, advertised, or made available through any other rental platform, store, or private arrangement.
• The garment must not be sold privately without prior written notice.

Breach of exclusivity constitutes material breach.

In such event, Dress Rental NZ may:

• Immediately terminate this Agreement
• Remove the garment from listing
• Charge an administrative fee of $150
• Withhold any unpaid revenue pending resolution


4. Rental Pricing

Dress Rental NZ retains sole and absolute discretion to:

• Determine rental pricing
• Adjust pricing at any time
• Offer discounts or promotional pricing

The Consignor has no right to approve or reject pricing decisions.


5. Revenue Distribution

Rental revenue will be calculated as follows:

  1. Rental fee received (inclusive of GST)

  2. Less GST component

  3. Less actual professional cleaning costs (variable per rental)

  4. Less repair costs (if applicable)

The remaining net revenue shall be split:

• 50% payable to the Consignor
• 50% retained by Dress Rental NZ

Payments will be made monthly within 14 days of month-end.

No payment is due unless rental income has been received.

Dress Rental NZ is not responsible for failed payments, chargebacks, or fraudulent transactions beyond funds recovered.


6. Cleaning & Normal Wear

Professional cleaning is required following rental.

Cleaning costs are variable and deducted prior to revenue split.

The Consignor acknowledges that:

• Gradual wear is inherent in rental use
• Fabric fatigue, minor stretching, seam stress, and general ageing may occur

Such wear is not compensable.


7. Damage & Loss

Repairable damage:
Repair costs will be recovered from the renter’s bond where possible.

Irreparable damage or total loss:
The renter is liable for the agreed replacement value recorded at intake.

If recovery from the renter is unsuccessful, Dress Rental NZ liability is strictly limited to funds actually recovered.

Dress Rental NZ does not guarantee replacement or full reimbursement.


8. Insurance

Garments are not automatically insured for full replacement value.

The Consignor is solely responsible for arranging independent insurance if desired.

Dress Rental NZ makes no representation that garments are insured.


9. Postal Try-On Restriction

Consigned garments are not eligible for postal try-on services.

All try-ons must occur in person unless expressly agreed in writing.

Dress Rental NZ retains sole discretion regarding garment eligibility for any postal service.


10. Consignment Term

Minimum term: 6 months.

Early withdrawal requires:

• 30 days written notice
• $75 administrative fee

Garments not collected within 30 days of termination may incur storage fees of $10 per week.


11. Seasonal Review

Every 6 months, Dress Rental NZ may review:

• Rental performance
• Condition
• Market demand

We may:

• Adjust pricing
• Recommend withdrawal
• Terminate consignment with 30 days written notice


12. Abandoned Property

If a garment:

• Is not collected within 30 days of termination, or
• Remains uncollected after reasonable contact attempts,

Dress Rental NZ may deem the garment abandoned.

After 60 days from termination, Dress Rental NZ may:

• Sell the garment to recover outstanding fees
• Donate the garment
• Dispose of the garment

No compensation will be payable for abandoned garments.


13. Limitation of Liability

To the maximum extent permitted by law:

Dress Rental NZ shall not be liable for:

• Gradual wear or fabric deterioration
• Fabric shrinkage or colour variation following cleaning
• Courier delay or third-party handling
• Theft, fire, flood, natural disaster, or force majeure
• Loss beyond amounts recovered from renters

Total liability is strictly limited to funds recovered from renters in respect of that garment.

Under no circumstances shall Dress Rental NZ be liable for indirect, consequential, or economic loss.


14. Dispute Resolution

In the event of dispute:

  1. Parties agree to first attempt resolution in good faith through written communication.

  2. If unresolved within 14 days, parties agree to engage in mediation in New Zealand.

  3. If mediation fails, disputes shall be resolved under New Zealand law through the appropriate court.

Each party bears their own legal costs unless otherwise ordered.


15. Governing Law

This Agreement is governed by the laws of New Zealand.


16. Entire Agreement

These Terms constitute the entire agreement relating to consignment and supersede all prior discussions.
